Description

• Ongoing Legal Operations: Assist with day-to-day issues arising on both the borrower and investor sides of the business, which includes, but is not limited to: drafting/amending loan documents; assisting in borrower/investor diligence; managing routine legal issues with borrowers, investors, and employees.
• Lending: Research lending law compliance issues; manage requisite lending license(s); ensure compliance with applicable federal and state lending laws (including consumer protection, privacy, usury, and licensing laws); draft and review loan and security agreements.
• Contracts: Draft and review general business and operational agreements.
• Fund Maintenance: Assist in disclosure documentation, preparation of filings, and fund operational policies and procedures.
• Regulatory Matters: Assist in regulatory filings, related requirements, and other government interactions and analyze key regulatory developments.
• Securities Law Compliance: Research securities law issues; work with outside counsel and management team to develop ongoing compliance strategy; prepare and manage regulatory filings.
• Structuring: Assist in the development and evolution of the legal and compliance structure of FC USA’s loan marketplace.
• Special Projects: Work on a variety of projects, as the need arises.
